Welcome to goTether, operated by goTether Platform, LLC, a Louisiana limited liability company. These Terms of Service govern your access to and use of the goTether platform, including our website (gotether.app), mobile applications, and all related services.

By creating an account or accessing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

goTether operates as a TikTok Creator Network agency platform providing software tools, coaching services, and community features for TikTok Live streamers and content creators. All parties must perform their obligations under these Terms in good faith.

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Services under applicable law
• You will provide accurate and complete information during registration

If we discover that you are under 18 years of age, we will promptly delete your information and terminate your account.

To access certain features of the Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Immediately notify us of any unauthorized access or use of your account
• Accept responsibility for all activities that occur under your account

Account creation is available through email/password or third-party login providers including TikTok, Discord, Google, and Apple. You may not share, transfer, or sell your account without our prior written consent.

goTether provides a comprehensive platform for TikTok Live creators and agencies, including:

• Creator management and analytics tools
• Live streaming support and battle/tournament features
• Agency management and recruiting tools
• Marketplace services for creator-agency connections
• Community features and Discord integration
• Training and educational content

Services are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

Certain features of the Services require a paid subscription. By subscribing to a paid plan, you agree to:

• Payment processing through Stripe, subject to their terms of service
• Automatic renewal of your subscription unless cancelled before the renewal date
• Receiving 30 days notice before any price changes take effect
• Payment of applicable taxes, which will be added at checkout

The Services may include virtual currency, points, or other virtual items. You acknowledge and agree that:

• Virtual Items have no real-world monetary value
• Virtual Items are non-refundable, non-transferable, and cannot be exchanged for cash
• We may modify or discontinue Virtual Items at any time
• Virtual Items may expire or change at our discretion
• We have no liability for any changes to Virtual Items

By providing your phone number, you consent to receive text messages from goTether for:

• Account verification and security alerts
• Important service notifications
• Marketing messages (with separate consent)

Message and data rates may apply. Message frequency varies based on your account activity. Reply "STOP" to opt out of messages or "HELP" for assistance. See our SMS/Text Message Terms for complete details.

When using the Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property or other rights of any third party
• Post or transmit harmful, threatening, abusive, or otherwise objectionable content
• Harass, intimidate, or threaten other users
• Impersonate any person or entity
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Use automated systems or software to access the Services without our permission
• Engage in any activity that could damage, disable, or impair the Services

We reserve the right to investigate and take appropriate action against any violations of these conduct standards, including account suspension or termination.

You retain ownership of content you create and upload to the Services. However, by posting content, you grant goTether a perpetual, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, modify, distribute, and display your content in connection with the Services.

You represent and warrant that:

• You own or have the necessary rights to the content you post
• Your content does not infringe on any third-party rights
• Your content complies with all applicable laws and these Terms
• You have the authority to grant the license described above

Content generated by goTether's AI tools is owned by goTether. You may not:

• Claim ownership of AI-generated content
• Use AI-generated content outside the platform without permission
• Misrepresent AI-generated content as human-created

We do not use AI to rank, prioritize, or otherwise make automated decisions that significantly affect creators or their content visibility on the platform.

The Services, including all content, features, functionality, software, and trademarks, are owned by goTether Platform, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

• Modify, copy, or create derivative works of the Services
• Reverse engineer or attempt to extract source code
• Remove any copyright or proprietary notices
• Transfer or sublicense your rights under this license

The Services integrate with third-party platforms and services, including:

• TikTok - for creator data and analytics
• Stripe - for payment processing
• Discord - for community features
• Twilio - for SMS communications

Your use of third-party services is subject to their respective terms and privacy policies. We bear no responsibility for the actions, content, or policies of any third-party services.

You may terminate your account at any time through your account settings. If you have an active subscription, cancellation will take effect at the end of your current billing period.

We may suspend or terminate your account at any time, for any reason or no reason, with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Request from law enforcement or government agency

Upon termination, your right to use the Services immediately ceases, and we may delete your data and content.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

• Any specific results, earnings, followers, or engagement
• Uninterrupted or error-free operation of the Services
• That the Services will meet your requirements
• That defects will be corrected
• That the Services are free of viruses or other harmful components

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOTETHER PLATFORM, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use of or inability to use the Services
• Any damages arising from unauthorized access to your account

Our total liability shall not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim, or (b) $100.

You agree to indemnify, defend, and hold harmless goTether Platform, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you post or submit through the Services

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles.

Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Jefferson Parish, Louisiana, and you consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the effective date at the top of these Terms
• Post the updated Terms on our website
• Notify you via email or in-platform notification for material changes

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
